SPECIAL BOARD OF SUPERVISOR’S MEETING
MINUTES OF MARCH 23, 2016

BOARD MEMBERS PRESENT: Louis A. Bruso, Jr., Chair, Jamaica; Jan Ameen, Vice Chair, Westminster (via conference phone); John Allen, Brattleboro; Michelle Cherrier, Dummerston; Cheryl Franklin, Guilford; Lewis Sumner, Halifax (via conference phone); Tony Gordon, Marlboro; Dan Toomey, Putney; Irvin Stowell, Townshend; Tim Franklin, Vernon; Nancy Meinhard, Wardsboro; Clyde Twitchell, Whitingham; and Merrill Mundell, Wilmington.

BOARD MEMBERS ABSENT: David Schoales, Brattleboro; David Jones, Brookline; Lester Dunklee, Dummerston; Thomas Baltrus, Dover; Troy Revis; Guilford; Bradley Rafus, Halifax; Stillman Vonderhorst, Marlboro; Johanna Gardner and Shannon Meckle, Newfane; Gig Zboray and James Damato, Readsboro; Albert Dupell, Stratton; Tom Consolino, Wilmington; and Scott Bushee, Winhall.  

WSWMD STAFF PRESENT: None
 
OTHERS PRESENT: Patrick Moreland, Brattleboro Assistant Town Manager

Mr. Bruso, Chair, called the meeting to order at 7:03 p.m.

1) Consider Approval of Assignment of BOE Lease to Sky Solar:  The Board of Supervisor’s reviewed and discussed the Landlord’s Estoppel Certificate.  Mr. Bruso noted the District’s attorney reviewed the document.

Motion made, seconded, and carried to the Landlord’s Estoppel Certificate.

2) Consider Short Term Loan: Mr. Bruso reviewed two loan proposals with the Board. The Board discussed the terms of each loan.

Motion made, seconded, and carried the Board authorize Mr. Bruso, Chair of the Board and Ms. Cherrier, Treasurer, to sign the note from Merchant’s Bank for $75,000 due March 30, 2018. There was 1 nay.  

3) Determine whether Special BOS Meeting required for March 30:  Mr. Bruso suggested the Board hold a special Meeting to reduce the number of Materials Recovery Facility (MRF) employees.  The Board agreed to discuss MRF staffing at the April Finance Committee Meeting.

4) Adjournment:  

Motion made, seconded and carried to adjourn.  

The meeting was adjourned at 7:38 p.m.
